Hawi Agents — Terms and Conditions

These Terms and Conditions (“Terms”) form a legally binding agreement between you and Hawi Inc, trading as Hawi Agents (“Hawi”, “Hawi Agents”, “we”, “us”, or “our”) governing your access to and use of the Hawi Agents websites, applications, APIs, dashboards, agent execution services, automation services, integrations, voice services, marketplace, developer tools and all related products and services that reference these Terms (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT PROVISIONS CONCERNING SUBSCRIPTIONS, USAGE-BASED CHARGES, AGENT-GENERATED ACTIONS, AUTOMATIC PURCHASING, THIRD-PARTY SERVICES, LIMITATIONS OF LIABILITY, SUSPENSION, TERMINATION AND DISPUTE RESOLUTION.
If you do not agree to these Terms, you must not access or use the Services.
1. About Hawi Agents
Hawi Agents provides software that enables individuals and organisations to create, configure and operate software-based agents and automated workflows.
Depending on the features enabled for an account, Hawi Agents may permit agents to perform or assist with activities including:
- analysing information;
- creating and processing content;
- drafting or sending communications;
- receiving and responding to messages;
- interacting with email services;
- managing calendars;
- creating tasks and records;
- using connected third-party applications;
- making or receiving telephone calls;
- processing voice interactions;
- monitoring events and triggers;
- accessing authorised business information;
- using APIs;
- reading and processing files;
- interacting with commerce systems;
- monitoring stock or suppliers;
- preparing purchase requests;
- initiating authorised purchases;
- performing financial or money-moving actions where expressly enabled;
- working with other agents;
- handing tasks between agents;
- performing scheduled or event-driven activities;
- installing marketplace agents, templates or modifiers;
- and performing other actions made available through the Services.
The precise capabilities available to you depend on your plan, configuration, permissions, geographic location, account type, connected services, applicable laws, provider availability and other restrictions.
Hawi does not guarantee that every capability, connector, model, provider, marketplace item or feature shown in documentation, marketing material, a catalogue or preview interface will be available to every customer at all times.
2. Definitions
For these Terms:
“Account” means the primary Hawi customer account through which billing, membership, entitlements and connected services may be administered.
“Account Owner” means the person or organisation that controls an Account and is responsible for its administration and charges.
“Agent” means a software-based automated or semi-automated agent configured, installed or operated through Hawi.
“Agent Action” means an action initiated, recommended or performed by an Agent, including communications, third-party API operations, purchases, calendar actions, calls and other external operations.
“AI Credits” or “Credits” means closed-loop usage units made available solely for consuming eligible Hawi Services.
“Authorised User” means an individual authorised to access an Account or Workspace.
“Business Customer” means a person acting for purposes relating wholly or mainly to their trade, business, craft or profession.
“Connector” or “Integration” means a connection between Hawi and a third-party service.
“Consumer” means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
“Creator” means a person who publishes or monetises eligible content, Agents, templates, modifiers or other products through the Hawi marketplace.
“Customer Content” means information, files, instructions, prompts, messages, recordings, configurations or other material submitted to or processed through the Services by or for you.
“Marketplace” means any functionality that permits users to publish, distribute, license, install, sell or purchase Agents, templates, modifiers or related products.
“Output” means content or information generated by or through an Agent or model.
“Plan” means a free, paid, individual, business, enterprise or custom Hawi subscription.
“Seat” means an individual user entitlement under an applicable business Plan.
“Services” has the meaning given at the beginning of these Terms.
“Third-Party Service” means a product, platform, API, model provider, payment processor, communications provider, commerce platform, cloud provider or other service operated by a party other than Hawi.
“Voice Units” means usage units designated specifically for eligible voice or telephony Services.
“Workspace” means a logical environment within an Account in which Agents, users, files, configurations, resources and permissions may be organised.
3. Acceptance of These Terms
You accept these Terms when you:
- create an Account;
- click a button or checkbox indicating acceptance;
- purchase or activate a Plan;
- access a paid feature;
- install or publish Marketplace content;
- use an API governed by these Terms;
- or otherwise access or use the Services after being provided with these Terms.
If you accept these Terms for a company, organisation or other legal entity, you represent that you have authority to bind that entity.
In that case, “you” and “your” include that entity.
4. Eligibility and Age Requirements
You must be legally capable of entering into a binding agreement.
Unless Hawi expressly offers a separate service intended for younger users, you must be at least 18 years old to create or control an Account.
You must provide truthful age and eligibility information.
We may require age confirmation or other verification where reasonably necessary to comply with law, protect users or enable particular Services.
You may not use the Services if:
- applicable law prohibits you from receiving them;
- your Account has previously been permanently terminated for serious violations and we have not authorised a new Account;
- you are subject to applicable trade sanctions that prohibit the relationship;
- or you cannot legally agree to these Terms.
5. Consumer and Business Customers
Certain provisions apply differently to Consumers and Business Customers.
Nothing in these Terms is intended to exclude, restrict or replace rights that cannot lawfully be excluded.
If you are a Consumer, mandatory consumer-protection rights applicable where you live remain unaffected.
Provisions stating that Hawi has discretion, may limit liability, may modify the Services or may charge fees are subject to any mandatory rights you have under applicable law.
Where these Terms contain provisions specifically labelled for Business Customers, those provisions do not apply to Consumers unless legally permitted.
6. Accounts
You must provide accurate and reasonably current registration information.
You are responsible for:
- protecting your login credentials;
- securing devices used to access Hawi;
- controlling access to your Account;
- reviewing Authorised Users;
- configuring appropriate permissions;
- keeping contact and billing information current;
- and promptly notifying us of suspected unauthorised access.
You must not share personal login credentials in a manner that circumvents Seat requirements or security controls.
Hawi may require additional authentication, verification or security challenges for sensitive actions.
You must notify us promptly if you believe your Account has been compromised.
7. Account Ownership and Administrators
An Account may have owners, administrators, billing administrators, members and other roles.
The Account Owner and authorised administrators may be able to:
- add or remove users;
- allocate Seats;
- grant or revoke Workspace access;
- configure Agents;
- configure Integrations;
- determine spending permissions;
- review usage;
- control billing;
- configure limits;
- suspend product access;
- view administrative records;
- and perform other administrative actions.
If you use an Account controlled by your employer or another organisation, that organisation may control your access and certain data associated with the Account.
Hawi is entitled to rely on instructions from persons presented to us through the Services as properly authorised Account administrators unless we have reasonable grounds to believe otherwise.
8. Business Seats
Certain Business Plans are sold on a per-Seat basis and may require a minimum number of Seats.
A person generally consumes a Seat where that person has active or suspended product access, subject to the rules displayed in your Account.
A billing administrator who does not have product access may not consume a product Seat where the Services expressly provide for this.
You are responsible for maintaining sufficient paid Seats for your Authorised Users.
We may restrict adding additional users if doing so would exceed your purchased Seat entitlement.
Additional Seats may cause additional charges.
Seat pricing and applicable minimums are displayed at checkout, in your Account, in an Order Form or on the relevant pricing page.
9. Workspaces
Accounts may contain one or more Workspaces.
Workspaces can be used to separate:
- Agents;
- users;
- workflows;
- files;
- Integrations;
- limits;
- permissions;
- data;
- and operational resources.
A connected third-party account may, where supported, be owned at the Account level and selectively made available to particular Workspaces.
Making a connection available to a Workspace does not transfer ownership of the credentials to that Workspace.
The Account Owner remains responsible for determining which Workspaces and users may use each connection.
10. Invitations and Collaboration
If you invite another person to your Account or Workspace, you represent that you are authorised to do so.
You are responsible for selecting the correct role and access level.
Invitation links, codes or tokens must be treated as confidential.
You must not intentionally send invitations to persons who should not receive access.
Hawi may invalidate invitations that expire, are revoked, appear compromised or create a security risk.
11. Agents Are Software Tools
Agents are software systems. They are not employees, directors, legal representatives, fiduciaries or human professionals.
Statements or actions produced by an Agent must not be interpreted as establishing that the Agent itself:
- holds a professional licence;
- has legal personality;
- possesses independent authority;
- acts as a regulated professional;
- or owes fiduciary obligations.
You are responsible for deciding what authority to give your Agents.
12. Agent Autonomy
Hawi may allow you to configure Agents that operate:
- only when manually triggered;
- according to a schedule;
- when a specified event occurs;
- after receiving an external message;
- automatically without additional user input;
- or according to another trigger supported by the Services.
If you enable autonomous operation, you expressly authorise eligible Agent Actions within the limits and permissions you configure.
You understand that an autonomous Agent may act when you are not actively using Hawi.
You should configure permissions, approvals, limits, scopes and spending restrictions appropriate to the risk of the task.
13. Responsibility for Agent Instructions
You are responsible for:
- instructions supplied to an Agent;
- tools made available to an Agent;
- third-party accounts connected to an Agent;
- permissions granted;
- approval rules;
- spending limits;
- recipients configured for communications;
- and other material configuration decisions.
You must review Agent configurations before using them for important operations.
You must not deliberately configure an Agent to perform conduct that would be unlawful if performed directly by you.
14. Agent Outputs May Be Incorrect
Software models and Agents can produce inaccurate, incomplete, outdated, misleading or unexpected information.
An Agent may:
- misunderstand instructions;
- misinterpret third-party data;
- generate inaccurate content;
- select an incorrect tool;
- misclassify information;
- fail to complete an operation;
- or produce an outcome different from what you intended.
You should independently verify important Outputs before relying on them.
You must use appropriate human review where an error could materially affect a person, business, financial position, legal right, safety interest or other significant matter.
15. High-Impact Uses
Unless expressly supported under a separate written agreement, you must not use Hawi as the sole decision-maker for decisions that produce legal or similarly significant effects concerning individuals, including decisions relating to:
- employment;
- dismissal;
- creditworthiness;
- lending;
- insurance eligibility;
- housing;
- education admission;
- essential public services;
- healthcare treatment;
- criminal justice;
- or other legally regulated high-impact determinations.
Hawi may impose mandatory human approval controls on higher-risk operations.
16. Approval Controls
Certain Agent Actions may require approval before execution.
Approval controls may be based on:
- type of action;
- Integration;
- spending amount;
- destination;
- Workspace;
- user role;
- financial risk;
- third-party requirements;
- or another policy.
You must not attempt to bypass approval controls.
If approval is required, Hawi may pause execution until approval is received.
A task may expire or fail if approval is not provided within the permitted period.
17. Automatic Purchasing
Hawi may permit eligible Accounts to enable automatic purchasing or similar commercial actions.
Automatic purchasing must be affirmatively enabled where required by the Services.
By enabling automatic purchasing, you authorise Agents operating within the permissions you configure to initiate eligible purchases without requesting separate confirmation for every transaction.
You are responsible for establishing appropriate:
- transaction limits;
- supplier restrictions;
- category restrictions;
- time limits;
- approval thresholds;
- payment-method permissions;
- and other purchasing policies.
Transactions outside those permissions may be blocked.
Disabling automatic purchasing prevents future autonomous purchasing after the disablement takes effect but does not necessarily cancel transactions already submitted to a merchant or provider.
18. Agent Purchases Are Your Transactions
Unless Hawi expressly states that Hawi is the seller, Hawi is not the merchant or seller of goods or services purchased by an Agent from a third party.
When an Agent places an order using authority you provided, the transaction is generally treated as an action undertaken on your behalf.
The relevant merchant's terms, return policies, warranties and other conditions may apply.
You are responsible for reviewing those terms where appropriate.
Hawi does not guarantee:
- availability;
- quality;
- legality;
- delivery;
- merchant performance;
- product suitability;
- refund eligibility;
- or fulfilment
of third-party purchases.
19. Spending Notifications
Where supported, Hawi may allow you to configure notifications concerning:
- Agent purchases;
- usage limits;
- depleted balances;
- failed payments;
- threshold events;
- credit consumption;
- voice usage;
- or other spending events.
Notifications may be delivered through email or supported Integrations selected by you.
Notifications are informational safeguards and are not a substitute for account limits.
Delay or failure in delivery of a notification does not by itself invalidate a transaction that was otherwise properly authorised.
20. Financial and Money-Moving Integrations
Certain Integrations may enable or facilitate financial actions.
Unless we expressly state otherwise in a separate regulated-services agreement, Hawi is a software provider and is not:
- a bank;
- lender;
- investment adviser;
- broker-dealer;
- financial adviser;
- payment institution;
- electronic-money institution;
- escrow service;
- fiduciary;
- accountant;
- or tax adviser.
Third-party regulated providers may perform underlying regulated services.
You must ensure that any financial instructions are lawful and properly authorised.
Hawi may impose additional verification, approvals, limits and restrictions on financial operations.
21. Third-Party Integrations
Hawi supports or may catalogue a range of third-party Integrations.
A listing in Hawi does not necessarily mean that:
- the Integration is currently enabled;
- the provider has supplied required credentials;
- Hawi has completed all provider configuration;
- the Integration is available in your country;
- the provider will approve your account;
- every operation supported by the third party is supported by Hawi;
- or the Integration will remain available indefinitely.
Only Integrations presented to your Account as available and connectable should be treated as available for customer use.
22. Connecting Third-Party Accounts
When you connect a Third-Party Service, you authorise Hawi to communicate with that service on your behalf within the permissions and scopes you approve.
You are responsible for ensuring you have authority to connect the account.
You may not connect:
- another person's account without permission;
- credentials obtained unlawfully;
- compromised credentials;
- or an account whose terms prohibit the intended use.
You are responsible for maintaining your relationship with the third-party provider.
23. Third-Party Terms
Third-Party Services are governed by their own terms, privacy policies and usage restrictions.
You must comply with them.
Hawi is not responsible for changes made by third-party providers to:
- APIs;
- pricing;
- availability;
- rate limits;
- authentication methods;
- permissions;
- policies;
- data formats;
- or functionality.
Such changes may cause a Hawi Integration to become degraded, restricted or unavailable.
24. Third-Party Provider Outages
Hawi relies on third-party infrastructure and service providers.
An Agent's task may depend on services operated by other companies.
Hawi cannot guarantee uninterrupted operation of third-party systems.
Provider outages, restrictions, throttling, security incidents or policy changes may:
- delay tasks;
- prevent tasks;
- cause retries;
- cause fallback behaviour;
- require re-authentication;
- or require the Integration to be temporarily disabled.
25. Provider Rate Limits
Agents must operate within applicable provider rate limits.
Hawi may:
- queue operations;
- throttle requests;
- delay tasks;
- reduce concurrency;
- retry operations;
- apply backoff;
- temporarily suspend a Connector;
- or route work through another eligible provider
to comply with rate limits or maintain system stability.
Hawi does not guarantee immediate execution.
26. Email, Messaging and Communications
If you allow an Agent to send emails, messages or other communications, you are responsible for:
- the recipients selected;
- the purpose of the communication;
- the lawfulness of contacting those recipients;
- required marketing consents;
- suppression and unsubscribe requirements;
- the accuracy of sender identity;
- and compliance with applicable electronic communications laws.
You must not use Hawi to send unlawful spam, phishing messages, deceptive communications or fraudulent impersonations.
27. Calendar and Scheduling Actions
Agents may create, modify or cancel events in connected calendars where authorised.
You are responsible for determining when human review is appropriate.
Hawi does not guarantee that a third party will:
- receive an invitation;
- attend an event;
- correctly interpret an automated message;
- or accept a proposed appointment.
28. Voice Services
Eligible customers may purchase or use voice functionality.
Voice Services may permit Agents to:
- make calls;
- receive calls;
- converse with callers;
- process speech;
- transfer information;
- perform follow-up actions;
- send emails after a call;
- create calendar events;
- or continue workflows through other supported channels.
Voice availability may depend on geographic, provider, number, destination and regulatory restrictions.
29. Voice Units
Voice usage may be accounted for separately from AI Credits.
AI Credits and Voice Units are separate usage resources and are not interchangeable unless Hawi expressly states otherwise.
Voice Units may be measured by billable seconds or other units displayed at purchase.
Different destination categories may have different pricing or restrictions.
30. Restricted Telephone Destinations
Certain destinations may be:
- blocked by default;
- subject to additional fees;
- require additional approval;
- or be unavailable.
These may include premium-rate, special-service, personal-numbering and international destinations.
You must not circumvent destination controls.
Additional carrier costs may be passed through as disclosed at the time the functionality is enabled or used.
31. Call Recording and Telephone Law
You are responsible for determining whether calls initiated or received through your Account may legally be:
- recorded;
- transcribed;
- analysed;
- monitored;
- or stored.
Where disclosure or consent is legally required, you are responsible for ensuring appropriate notice or consent is provided.
You must also comply with applicable:
- telemarketing rules;
- do-not-call requirements;
- direct-marketing restrictions;
- caller-identification rules;
- sector-specific requirements;
- and telecommunications laws.
32. User API Keys and Developer API
Where Hawi provides developer credentials or API keys:
- you must keep them confidential;
- you must not expose them in public client-side code;
- you must not publish them;
- and you must revoke them promptly if compromised.
Hawi may impose daily, monthly, concurrency or other limits on API use.
We may revoke credentials involved in abuse, compromise or security incidents.
33. Customer Files
Hawi may allow users to upload documents and other files to private Workspaces.
You must have the necessary rights to upload and process those materials.
Files may be subject to:
- security scanning;
- malware detection;
- validation;
- quarantine;
- size limits;
- format restrictions;
- retention controls;
- and removal where necessary to protect the Services.
Hawi may reject or isolate files reasonably suspected to be malicious.
34. Malicious Content
You must not intentionally upload, transmit, create or distribute:
- malware;
- ransomware;
- credential stealers;
- malicious executable files;
- destructive payloads;
- worms;
- botnets;
- unauthorised exploit code;
- or other material intended to compromise systems.
Security research must not be performed against Hawi or third parties without appropriate authorisation.
35. Service Usage Credits
Hawi may provide closed-loop AI Credits.
Credits:
- are usage units for eligible Hawi Services;
- are not legal tender;
- are not bank deposits;
- are not electronic money;
- do not represent stored cash;
- do not accrue interest;
- are not investments;
- are not cryptocurrency;
- are not redeemable for cash;
- and generally cannot be transferred between unrelated customers.
Credits may be granted through:
- subscriptions;
- top-ups;
- promotional programmes;
- bonuses;
- corrections;
- enterprise allocations;
- or other eligible mechanisms.
36. Credit Valuation and Usage
The number of Credits consumed by an operation may depend on factors such as:
- model;
- provider;
- input;
- output;
- reasoning usage;
- tool operations;
- web searches;
- storage;
- infrastructure;
- context size;
- provider pricing;
- and other cost drivers.
The same apparent task may consume different amounts on different occasions.
Where reasonably practicable, Hawi may reserve estimated Credits before an operation and settle actual usage afterwards.
Unused reserved amounts may be released where appropriate.
37. Pricing Versions
Hawi may update its internal conversion rates and usage pricing prospectively to reflect:
- provider pricing changes;
- currency movements;
- infrastructure costs;
- taxes;
- model changes;
- additional capabilities;
- or commercial pricing changes.
Usage should be charged according to the applicable pricing regime for the relevant execution period.
We will not knowingly rewrite historical usage solely to apply a later, more expensive rate retroactively.
38. Credit Reservations
Before a paid Agent operation starts, Hawi may estimate the amount of Credits required and temporarily reserve that amount.
A reservation is not necessarily the final charge.
After execution:
- actual usage may be settled;
- unused reserved Credits may be released;
- additional permitted usage may be charged;
- or the operation may be stopped if sufficient resources are unavailable.
39. Long-Running Operations
Some activities cannot be predicted precisely in advance.
Examples include:
- long conversations;
- telephone calls;
- multi-step workflows;
- large model contexts;
- provider retries;
- and open-ended tasks.
Hawi may impose:
- maximum run duration;
- maximum cost;
- maximum tool operations;
- maximum model usage;
- maximum call length;
- or other protective limits.
When a limit is reached, Hawi may attempt to conclude, pause or terminate the task in a context-appropriate manner.
We do not guarantee that every operation can be gracefully completed before a limit is reached.
40. Usage Limits
Hawi may provide Account-level, Workspace-level, Agent-level or wallet-level limits.
Limits may include:
- spend ceilings;
- Credit limits;
- Voice Unit limits;
- transaction limits;
- API limits;
- task limits;
- concurrency limits;
- daily limits;
- or other restrictions.
You are responsible for correctly configuring optional limits.
A limit that you leave unset may not create a restriction.
41. Usage Alerts
Hawi may provide threshold alerts.
An alert is a convenience feature and does not guarantee that:
- a transaction will be prevented;
- all activity will stop exactly at the threshold;
- the notification will arrive before further usage;
- or the user will read it in time.
Where strict protection is needed, use an enforceable limit rather than relying only on notifications.
42. Automatic Recharge
Eligible customers may enable automatic recharge.
By enabling automatic recharge, you expressly authorise Hawi or its payment processor to charge your selected payment method when the configured trigger is reached, subject to your selected limits and applicable monthly cap.
You are responsible for:
- selecting an appropriate trigger;
- selecting the recharge amount;
- maintaining a valid payment method;
- and configuring an appropriate maximum.
You may disable automatic recharge for future charges.
Disabling automatic recharge does not reverse charges already validly initiated.
43. Postpaid or Enterprise Usage
Approved Business Customers may receive postpaid or invoiced usage limits.
Postpaid use may be subject to:
- credit review;
- contract limits;
- invoicing terms;
- security deposits;
- spending limits;
- payment history;
- and additional written terms.
Hawi may reduce, suspend or withdraw postpaid facilities where reasonably necessary to control credit risk.
44. Subscriptions
Paid Plans may renew automatically unless cancelled.
Billing frequency may include monthly, annual or another interval disclosed at checkout.
By purchasing an automatically renewing Plan, you authorise recurring charges in accordance with the price and billing interval presented to you.
Your checkout information, Order Form and Account billing interface form part of the agreement concerning price.
45. Plan Features
Plans may differ in:
- included Credits;
- number of Agents;
- number of Seats;
- model access;
- queue priority;
- collaboration features;
- governance features;
- execution limits;
- support;
- APIs;
- voice capabilities;
- Marketplace features;
- and other entitlements.
Plan descriptions displayed at the time of purchase apply subject to these Terms.
46. Trials
Certain Plans may include a free trial.
Trial eligibility, length and conversion terms are displayed at signup.
We may restrict repeat trials.
Where a trial automatically converts into a paid subscription, we will provide the information required by applicable law.
You must cancel within the applicable period if you do not wish the subscription to become paid.
47. Cancelling a Subscription
You may cancel a subscription using the cancellation functionality made available in your Account or another method required by applicable law.
Unless applicable law or your Order Form says otherwise:
- cancellation normally prevents the next renewal;
- access continues until the end of the already-paid billing period;
- and cancellation does not automatically refund usage already provided.
We will not intentionally require unnecessary steps solely to prevent cancellation.
48. Consumer Cancellation Rights
If you are a Consumer, you may have statutory cancellation or cooling-off rights.
Nothing in these Terms removes those rights.
Where legally required, Hawi will provide applicable pre-contract information concerning:
- the subscription;
- price;
- recurring billing;
- cancellation;
- commencement of Services;
- digital content;
- and circumstances in which cancellation rights may be lost or reduced.
If you expressly request immediate performance during a statutory cancellation period, you may be required to pay for Services supplied before cancellation where permitted by law.
Where applicable law requires separate express consent or acknowledgement before a cancellation right can be lost, Hawi will seek that consent or acknowledgement separately.
49. Future Subscription Law Changes
Consumer subscription laws may change.
Hawi may update its subscription processes, reminder notices, cancellation mechanics and these Terms to comply with newly effective laws.
Nothing in these Terms is intended to reduce rights granted by future mandatory subscription legislation.
50. Top-Ups
You may be able to purchase additional Credits or Voice Units independently of a subscription.
The quantity and price are displayed before purchase.
Unless required by law, purchased usage units are generally non-refundable once consumed.
Unused purchased Credits are not redeemable for cash.
51. Promotional Credits
Promotional or complimentary Credits may:
- have an expiry date;
- be limited to specific features;
- be non-transferable;
- be withdrawn if obtained through fraud;
- and be excluded from cash refunds.
Promotional terms displayed at the time of the offer also apply.
52. Taxes
Prices may be stated inclusive or exclusive of taxes depending on:
- customer type;
- location;
- product;
- billing arrangement;
- and applicable law.
Business pricing may be displayed exclusive of VAT or similar taxes.
You are responsible for taxes that applicable law requires you to pay, except taxes imposed on Hawi's net income.
We may collect tax information and apply VAT, sales tax or similar charges where required.
53. Payment Processing
Payments may be processed by third-party payment providers.
You authorise Hawi and its payment providers to process payment information and charges required under your selected Plan.
Hawi does not need to store complete payment-card credentials where they are handled by the relevant payment processor.
54. Failed Payments
If payment fails, Hawi may:
- retry the charge;
- notify you;
- restrict paid features;
- pause Agent execution;
- disable postpaid use;
- downgrade the Account;
- suspend the Account;
- or require payment before further paid Services are provided.
You remain responsible for undisputed amounts validly incurred before suspension.
55. Refunds
Except where:
- applicable law requires otherwise;
- Hawi expressly states otherwise;
- a correcting usage entry is required;
- there has been a duplicate charge;
- a billing error occurred;
- or another written refund commitment applies,
payments are not automatically refundable merely because you did not use the full available entitlement.
Nothing in this section restricts mandatory Consumer remedies.
56. Chargebacks
If you believe a charge is incorrect, please contact Hawi before initiating a chargeback where practicable.
We may investigate chargebacks and provide transaction records to payment providers as permitted by law.
Fraudulent or abusive chargebacks may result in suspension.
A legitimate exercise of statutory payment rights will not by itself constitute abuse.
57. Marketplace
Hawi may operate a Marketplace through which users can discover, install, distribute, license or purchase Agents and related materials.
Marketplace products may be:
- created by Hawi;
- created by independent Creators;
- free;
- paid;
- subscription-based;
- or usage-based.
The Marketplace listing should identify the relevant commercial arrangement.
58. Creator Status
Unless otherwise stated, Marketplace Creators are independent parties.
Publishing through Hawi does not create:
- employment;
- agency;
- partnership;
- franchise;
- joint venture;
- or fiduciary relationships
between Hawi and the Creator.
Creators are responsible for their listings and materials.
59. Marketplace Creator Warranties
A Creator represents that:
- they have the rights required to publish the content;
- the listing does not knowingly infringe third-party intellectual property;
- the description is materially accurate;
- the content does not contain undisclosed malicious functionality;
- the content complies with law;
- the content does not intentionally steal credentials or data;
- and the Creator will provide any disclosures required by law.
60. Marketplace Security Review
Hawi may scan, review, test, quarantine or reject Marketplace submissions.
Security review does not guarantee that a Marketplace product is:
- error-free;
- secure;
- suitable;
- accurate;
- or free from vulnerabilities.
Users remain responsible for deciding whether installation is appropriate.
61. Marketplace Installations
Installing a Marketplace Agent may grant that Agent permissions within your Workspace.
Before installation, review:
- requested Integrations;
- permissions;
- spending capabilities;
- data access;
- triggers;
- files;
- external actions;
- and other relevant configuration.
You are responsible for permissions you approve.
62. Marketplace Payments and Creator Earnings
Where Hawi permits monetisation:
- Hawi may collect payment from the purchaser;
- calculate the Creator's eligible earnings;
- deduct disclosed platform fees;
- account for refunds and chargebacks;
- deduct amounts required by law;
- and pay the Creator through an approved payout provider.
Marketplace earnings are distinct from Hawi AI Credits.
Creator fiat earnings are not usage Credits.
63. Creator Payout Thresholds
Hawi may require a minimum payout balance.
The currently applicable threshold will be displayed in the Creator interface or applicable Marketplace terms.
Amounts below the threshold may roll forward until the threshold is met.
Hawi may modify payout thresholds prospectively on reasonable notice where commercially necessary.
64. Creator Tax Obligations
Creators are responsible for their own tax obligations unless applicable law requires Hawi or a payment provider to collect, report or withhold tax.
We may require tax documentation before releasing a payout.
Failure to provide legally required tax or identity information may delay payment.
65. User Content
You retain ownership of Customer Content to the extent you owned it before submitting it.
You grant Hawi a worldwide, non-exclusive licence to host, copy, process, transmit, modify and otherwise use Customer Content only to the extent reasonably necessary to:
- operate the Services;
- execute your instructions;
- provide technical support;
- maintain security;
- prevent abuse;
- comply with law;
- and improve Services where permitted by our Privacy Policy and your applicable settings.
This licence ends when the relevant Customer Content is deleted except to the extent retention remains reasonably required by law, backups, legitimate security records or other lawful retention obligations.
66. Output Ownership
As between you and Hawi, and to the extent permitted by applicable law, Hawi does not claim ownership of Output generated specifically for you merely because it was generated through Hawi.
However:
- similar Outputs may be generated for other users;
- Output may not qualify for intellectual-property protection;
- third-party model terms may apply;
- and Hawi does not guarantee that Output is non-infringing.
You are responsible for determining whether Output is suitable for publication or commercial use.
67. Hawi Intellectual Property
Hawi and its licensors retain all rights in:
- the Services;
- software;
- platform architecture;
- APIs;
- interface;
- branding;
- logos;
- documentation;
- proprietary systems;
- and other Hawi technology.
These Terms do not transfer Hawi intellectual property to you.
68. Limited Licence
Subject to these Terms, Hawi grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for their intended purpose during your lawful use of the Services.
You may not:
- sell access to Hawi except where expressly authorised;
- copy substantial proprietary elements;
- remove ownership notices;
- reverse engineer except where applicable law gives a non-waivable right;
- circumvent technical restrictions;
- or represent that Hawi software is your own product.
69. Feedback
If you voluntarily provide suggestions, ideas or feedback about Hawi, you grant Hawi a perpetual, worldwide, royalty-free right to use that feedback without obligation to compensate you.
This does not transfer ownership of unrelated Customer Content.
70. Acceptable Use
You must use Hawi lawfully and responsibly.
You must not use the Services to:
- commit fraud;
- steal credentials;
- impersonate others deceptively;
- distribute malware;
- unlawfully access systems;
- violate sanctions;
- facilitate unlawful discrimination;
- engage in unlawful harassment;
- send unlawful spam;
- engage in trafficking;
- exploit children;
- distribute unlawful sexual content;
- violate intellectual-property rights;
- engage in unlawful surveillance;
- bypass security controls;
- or knowingly cause material harm to others.
71. Platform Abuse
You must not:
- create Accounts primarily to circumvent limits;
- evade suspensions;
- manipulate promotional programmes;
- intentionally exploit billing bugs;
- intentionally trigger infinite Agent loops;
- interfere with infrastructure;
- overwhelm APIs;
- scrape the Services contrary to access restrictions;
- probe for vulnerabilities without authorisation;
- or deliberately circumvent safeguards.
72. Agent Loops and Runaway Execution
Hawi may detect and terminate apparently looping, duplicative or runaway Agent behaviour.
Where technically appropriate, Hawi may attempt to preserve task state so a corrected task can later continue.
We do not guarantee automatic recovery.
Protection against loops may override instructions to continue execution.
73. Platform Safety Limits
Hawi may operate internal circuit breakers, usage controls and provider safeguards to protect:
- customers;
- third parties;
- platform stability;
- provider accounts;
- and Hawi from abnormal or unintended expenditure.
A circuit breaker may temporarily delay or stop new operations.
Hawi may modify internal thresholds as operational conditions change.
Internal platform safety limits are not customer balances and do not create a promise that any particular quantity of infrastructure capacity will always be available.
74. Capacity and Queuing
During periods of high demand, Hawi may:
- queue Agent jobs;
- prioritise workloads according to Plan;
- limit concurrency;
- delay non-urgent tasks;
- allocate capacity fairly;
- reject new tasks;
- or provide degraded functionality.
Queue priority does not guarantee an exact execution time.
75. Service Availability
We aim to provide reliable Services but do not guarantee that the Services will be uninterrupted, error-free or continuously available.
Maintenance, incidents, third-party outages, capacity constraints, cyber incidents and other events may affect operation.
Where required by an applicable enterprise agreement, separate service-level commitments may apply.
76. Service Changes
We may modify the Services to:
- improve functionality;
- comply with law;
- maintain security;
- respond to provider changes;
- remove deprecated features;
- manage infrastructure;
- update models;
- improve reliability;
- or develop the product.
For material changes that significantly reduce a paid core feature, we will provide notice where reasonably practicable and required by law.
Consumer rights concerning material changes remain unaffected.
77. Models and Providers
Hawi may use models or infrastructure supplied by multiple providers.
We may change models or routing over time.
A particular model may become unavailable because of:
- provider changes;
- legal requirements;
- technical incidents;
- capacity restrictions;
- safety restrictions;
- pricing changes;
- or provider policy.
A Plan does not guarantee perpetual access to a specific third-party model unless we expressly promise that in writing.
78. Beta and Experimental Features
Some Services may be identified as beta, preview, experimental or early access.
Such features may:
- change rapidly;
- contain errors;
- have limited support;
- be discontinued;
- or operate under additional restrictions.
Do not rely on experimental features for critical production workloads without appropriate safeguards.
79. Security
Hawi uses technical and organisational measures intended to protect the Services.
No online system can be guaranteed perfectly secure.
You are responsible for appropriate security practices on your side, including:
- strong authentication;
- protecting endpoints;
- maintaining secure devices;
- limiting privileges;
- and promptly revoking compromised credentials.
You must report suspected vulnerabilities responsibly.
80. Privacy
Our collection and use of personal information is described in the applicable Hawi Privacy Policy.
The Privacy Policy is separate from these Terms but should be read together with them.
Where Hawi processes personal data for a Business Customer as a processor, a separate Data Processing Agreement may apply.
81. Special-Category and Sensitive Data
Certain features may involve sensitive information.
You must not provide sensitive or special-category information unless:
- the feature is intended to process it;
- you have a valid legal basis;
- you have made required disclosures;
- and you have obtained any required explicit consent.
Additional terms may apply to wellness or health-related features.
Hawi does not provide medical services.
82. Confidentiality for Business Customers
Each party may receive confidential information from the other.
For Business Customers, each party agrees to:
- use confidential information only for the contractual relationship;
- protect it using reasonable care;
- and not disclose it except to persons who need it and are subject to confidentiality obligations.
Confidentiality obligations do not apply to information that:
- becomes public without breach;
- was lawfully known beforehand;
- is received lawfully from another source;
- or is independently developed.
Disclosure required by law is permitted.
83. Content Moderation
Hawi may moderate Customer Content, Marketplace materials, public shares, collaboration features or communications hosted through the Services where reasonably necessary.
Possible measures include:
- warning;
- visibility restriction;
- removal;
- demonetisation;
- quarantine;
- Marketplace delisting;
- disabling a feature;
- temporary suspension;
- permanent termination;
- or referral to competent authorities where legally required.
Moderation decisions may use automated systems, human review or both.
84. Illegal Content Reporting
Where required by applicable law, Hawi may provide a mechanism for reporting content believed to be illegal.
Reports should identify the content and explain the basis for the report sufficiently for Hawi to assess it.
Hawi may request additional information.
Submitting deliberately fraudulent or manifestly unfounded reports may constitute misuse.
85. Moderation Appeals
Where required by law or offered by Hawi, affected users may appeal eligible moderation decisions.
An appeal does not automatically restore removed content.
We may uphold, modify or reverse the original decision.
86. Repeated Abuse
Hawi may suspend users who repeatedly provide manifestly illegal content or repeatedly abuse reporting or complaint mechanisms.
Where applicable law requires it, Hawi will consider:
- frequency;
- severity;
- proportion of abusive activity;
- likely intent;
- and relevant circumstances
before imposing such a suspension.
87. Copyright and Intellectual-Property Complaints
Hawi may remove or restrict content that reasonably appears to violate intellectual-property rights.
Rights holders should submit notices using the process designated by Hawi.
Users may be given an opportunity to respond where appropriate.
Repeated infringement may result in Account termination.
88. No Professional Advice
Unless expressly stated in writing, Hawi does not provide:
- legal advice;
- tax advice;
- accounting advice;
- medical advice;
- investment advice;
- financial advice;
- employment-law advice;
- regulatory advice;
- or other licensed professional advice.
Agent Output should not replace qualified professional advice where such advice is appropriate.
89. Customer Responsibility for Compliance
You are responsible for determining whether your use of Hawi complies with laws that apply to your operations.
This includes laws governing:
- privacy;
- data protection;
- employment;
- marketing;
- communications;
- financial services;
- consumer protection;
- intellectual property;
- call recording;
- commerce;
- sanctions;
- and industry regulation.
Hawi provides general-purpose software and cannot determine every legal requirement applicable to your organisation.
90. Suspension
Hawi may suspend all or part of the Services where reasonably necessary because:
- payment is overdue;
- security is compromised;
- your use creates material risk;
- you breach these Terms;
- law requires suspension;
- a provider requires suspension;
- we reasonably suspect fraud;
- continued operation could materially harm users or third parties;
- or emergency maintenance is required.
Where reasonably practicable, we will provide notice.
Immediate action may be taken where delay would create material risk.
91. Termination by You
You may stop using Hawi at any time.
You may close your Account using available Account controls or by contacting support where required.
Closing an Account does not automatically entitle you to a refund.
Applicable statutory rights remain unaffected.
92. Termination by Hawi
Hawi may terminate an Account for material or repeated breach of these Terms.
For minor remediable breaches, we may provide an opportunity to correct the breach before termination where reasonable.
Immediate termination may occur for serious matters including:
- fraud;
- malicious security activity;
- child exploitation;
- serious illegal conduct;
- deliberate malware distribution;
- sanctions violations;
- or conduct creating substantial risk to others.
93. Effects of Termination
Following termination:
- your right to use the Services ends;
- Agents may cease operation;
- Integrations may be disconnected;
- API keys may be revoked;
- Marketplace listings may be removed;
- unpaid amounts may remain due;
- and data may be deleted according to the Privacy Policy and retention rules.
Certain provisions survive termination where their nature requires it, including payment obligations, intellectual-property provisions, disclaimers, liability provisions, dispute provisions and confidentiality obligations.
94. Data Export and Account Closure
Where functionality is available, you should export information you need before closing your Account.
After termination, data may no longer be available.
Data may nevertheless be retained where reasonably necessary for:
- legal obligations;
- legal claims;
- fraud prevention;
- audit requirements;
- security;
- financial records;
- or legal holds.
95. Warranties to Consumers
Nothing in these Terms excludes warranties, guarantees or statutory rights that cannot legally be excluded.
For UK Consumers, statutory rights relating to Services and digital content continue to apply.
Where a Service is required by law to be performed with reasonable care and skill, these Terms do not exclude that obligation.
96. Business Customer Warranty Disclaimer
This Section 96 applies only to Business Customers to the maximum extent permitted by law.
Except as expressly stated in an Order Form or these Terms, the Services are provided “as is” and “as available”.
Hawi does not warrant that:
- every Agent will achieve the intended outcome;
- every Output will be accurate;
- every Integration will remain available;
- the Services will be completely uninterrupted;
- or the Services will meet every particular business requirement.
97. Limitations That Do Not Apply
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
This includes liability that cannot lawfully be excluded for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- deliberate unlawful conduct where exclusion is prohibited;
- or mandatory Consumer rights.
98. Business Customer Liability Cap
This Section 98 applies only to Business Customers.
Subject to Section 97 and unless an applicable Order Form states otherwise, Hawi's aggregate liability arising out of or relating to the Services during any twelve-month period will not exceed the greater of:
- the amount paid by the Business Customer to Hawi for the affected Services during the twelve months immediately preceding the event giving rise to the claim;
- or £100.
Where applicable law requires a higher minimum liability, that higher minimum applies.
99. Excluded Business Losses
This Section 99 applies only to Business Customers, to the extent permitted by law.
Hawi will not be liable for indirect or consequential loss or for loss of:
- profits;
- revenue;
- anticipated savings;
- business opportunity;
- goodwill;
- reputation;
- contracts;
- or business data
except to the extent such exclusion is prohibited by law or expressly overridden by an applicable Order Form.
100. Third-Party Transactions
Hawi is not liable merely because a third-party merchant, platform or service fails to perform its independent obligations.
This does not exclude liability to the extent a loss was directly caused by Hawi's own breach of a duty that cannot legally be excluded.
101. Business Customer Indemnity
This Section 101 applies only to Business Customers.
You will indemnify Hawi against third-party claims arising directly from:
- your unlawful Customer Content;
- your unlawful use of the Services;
- your violation of third-party rights;
- or transactions you intentionally caused through Hawi without the required authority,
to the extent the loss was caused by your breach and not by Hawi's own unlawful conduct.
Hawi will provide reasonable notice of an indemnified claim and allow reasonable participation in its defence.
102. Creator Indemnity
Marketplace Creators agree, to the extent permitted by law, to indemnify Hawi against third-party claims arising from allegations that their Marketplace materials:
- infringe intellectual-property rights;
- intentionally contain malware;
- violate applicable law;
- or materially misrepresent the product.
This provision does not require a Creator to indemnify Hawi for Hawi's independent wrongdoing.
103. Force Majeure
Neither party is liable for failure caused by events outside its reasonable control, subject to applicable law.
Such events may include:
- major internet failures;
- natural disasters;
- war;
- terrorism;
- civil unrest;
- government action;
- widespread cloud outages;
- labour disruption;
- power-grid failures;
- major telecommunications outages;
- or provider-wide infrastructure incidents.
Payment obligations already incurred are not automatically cancelled by a force majeure event.
104. Changes to These Terms
We may modify these Terms.
For material changes affecting existing paid customers, we will provide reasonable notice where required by law.
Changes may take effect immediately where necessary to:
- comply with law;
- address urgent security issues;
- prevent abuse;
- or implement changes that are clearly beneficial and do not materially reduce your rights.
Where applicable law requires consent to a material contractual change, we will obtain it.
105. Governing Law
Subject to mandatory Consumer protections, these Terms and non-contractual obligations arising from them are governed by the laws of England and Wales.
If you are a Consumer, this choice of law does not deprive you of mandatory protections provided by the law of your habitual residence where those protections apply irrespective of contractual choice.
106. Business Dispute Resolution
This Section 106 applies to Business Customers only.
Before commencing formal proceedings, the parties will attempt in good faith to resolve the dispute through written notice and reasonable commercial discussions.
A dispute notice should describe:
- the issue;
- relevant facts;
- requested remedy;
- and contact information.
The parties should attempt resolution for at least 30 days unless urgent injunctive relief is reasonably necessary.
107. Business Arbitration
This Section 107 applies only to Business Customers and does not require Consumers to arbitrate disputes.
If a Business Customer dispute has not been resolved under Section 106, either party may refer the dispute to binding arbitration.
Unless the parties agree otherwise:
- the seat of arbitration will be London, England;
- the arbitration will be conducted in English;
- there will be one arbitrator;
- and the arbitration will be administered under rules agreed by the parties or, failing agreement, under an established UK commercial arbitration framework selected by Hawi acting reasonably.
Nothing prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
108. Consumer Disputes
Sections 106 and 107 do not require Consumers to submit disputes exclusively to arbitration.
Consumers may use court proceedings and any applicable statutory alternative dispute-resolution mechanism available to them.
Nothing in these Terms limits a Consumer's non-waivable right to bring proceedings in a court that has jurisdiction under applicable law.
109. Jurisdiction
For Business Customers, subject to an applicable arbitration agreement, the courts of England and Wales have jurisdiction over disputes relating to these Terms.
Consumers may have rights to bring proceedings in the courts of their place of residence.
110. Complaints
Complaints may be submitted to:

111. Legal Notices

112. Assignment
You may not assign these Terms without Hawi's consent where the assignment would materially affect Hawi's rights or obligations.
Hawi may assign these Terms as part of:
- a merger;
- reorganisation;
- financing;
- sale of substantially all relevant assets;
- or transfer of the Services,
provided that Consumer rights are not unlawfully reduced.
113. No Partnership or Agency
Except for the limited technical authority you intentionally give an Agent to execute actions on your behalf, these Terms do not establish:
- employment;
- partnership;
- joint venture;
- franchise;
- general agency;
- or fiduciary relationship
between you and Hawi.
114. Third-Party Rights
Except where these Terms expressly state otherwise, a person who is not a party to these Terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
115. Entire Agreement
These Terms, together with documents expressly incorporated into them, constitute the agreement between you and Hawi concerning the Services.
Depending on your use, incorporated documents may include:
- an Order Form;
- Privacy Policy;
- Data Processing Agreement;
- Marketplace terms;
- acceptable-use rules;
- API terms;
- enterprise agreement;
- service-level agreement;
- or product-specific terms.
116. Order of Precedence
If documents conflict, the following order generally applies unless another document expressly states otherwise:
- a signed negotiated enterprise agreement;
- a signed Order Form;
- product-specific additional terms;
- these Terms;
- published policies and documentation.
Mandatory law always prevails where it cannot be varied by contract.
117. Severability
If any provision of these Terms is held unenforceable, the remaining provisions continue in effect.
An unenforceable provision should, to the extent legally permitted, be interpreted or modified as narrowly as necessary to make it enforceable while preserving its intended purpose.
118. No Waiver
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
119. Headings
Headings are provided for convenience and do not independently determine legal interpretation.
120. Interpretation
References to “including” mean “including without limitation”.
References to a law include amendments, replacements and subordinate legislation where appropriate.
Singular terms may include the plural and vice versa where context requires.
121. Survival
Provisions concerning:
- accrued payment obligations;
- intellectual property;
- confidentiality;
- Creator obligations;
- limitations of liability;
- indemnities;
- disputes;
- governing law;
- and provisions which by their nature should survive
continue after termination.

Schedule 1 — Agent Authorisation Framework
This Schedule forms part of the Terms.
1. Permission model
You are responsible for choosing which resources an Agent may access.
Permissions may include:
- read access;
- write access;
- communication access;
- calendar access;
- file access;
- purchasing;
- money movement;
- voice;
- API calls;
- external communications;
- and Agent-to-Agent delegation.
2. Principle of least privilege
Customers should provide only the permissions reasonably necessary for the Agent's assigned work.
3. Sensitive operations
Hawi may require additional authorisation for sensitive operations.
4. Autonomous operation
Enabling autonomous execution constitutes authorisation for eligible operations within the configured policy.
5. Delegation between Agents
Where Agents can hand work to another Agent, the receiving Agent remains subject to applicable Account and Workspace restrictions.
Hawi may restrict cyclic or excessive delegation.
6. External consequences
An operation may have consequences outside Hawi before Hawi receives confirmation that it succeeded.
Accordingly, retries may be restricted where repeating an operation could create duplicate purchases, duplicate communications or other harmful effects.
7. Idempotency
Hawi may employ technical measures designed to reduce duplicate external operations.
No technical system can guarantee that duplication will be impossible under every external-provider failure condition.
8. Cancellation
Cancelling an Agent run does not necessarily reverse an external action already accepted by a third-party provider.
Schedule 2 — Billing and Usage Principles
This Schedule forms part of the Terms.
1. Account-level billing
Billing may be associated with an Account rather than an individual Workspace.
2. Workspace allocation
An Account may allocate resources or limits among Workspaces or members.
Such allocation does not necessarily create separate ownership of the underlying purchased entitlement.
3. Credit accounting
AI Credits are separate from Voice Units.
4. Usage settlement
Estimated usage may be reserved and later reconciled against actual usage.
5. Corrections
Where an accounting error is identified, Hawi may create a correcting entry rather than altering historical records invisibly.
6. Insufficient balance
An operation requiring paid resources may be denied, paused or terminated where an adequate balance or approved postpaid facility is unavailable.
7. No cash value
AI Credits and Voice Units do not constitute cash balances owed to the customer.
8. Enterprise pooling
Where an Enterprise product expressly provides shared usage pools, authorised participating Accounts may consume from the common pool according to applicable allocation rules.
9. Auto-recharge
Automatic recharge requires affirmative configuration and may be subject to a maximum spending cap.
10. Fraud review
Large prepaid purchases, promotions or other transactions may be subject to anti-fraud review.
Schedule 3 — Third-Party and Connector Conditions
1. No permanent connector guarantee
Hawi may add, modify, disable or remove Integrations.
2. Provider credentials
Customers are responsible for providing customer credentials only where the Integration is designed to accept customer-supplied credentials.
Some provider infrastructure may instead be operated using Hawi-managed credentials.
3. Provider permissions
An Integration may request only the scopes necessary for supported functionality, but customers remain responsible for reviewing provider consent screens.
4. Provider billing
Certain Third-Party Services may charge the customer separately.
Hawi is not responsible for independent charges imposed directly by a provider unless Hawi expressly agreed to pay those charges.
5. Provider restrictions
Third-party rate limits, acceptable-use policies and geographic limitations may apply.
6. Reauthentication
A customer may need to reconnect an Integration after token expiry, revocation, provider security events or changes to provider authentication.
Schedule 4 — Marketplace Content and Moderation
1. Marketplace safety
Marketplace content must comply with these Terms.
2. Prohibited marketplace material
Creators may not publish content whose principal purpose is to:
- steal credentials;
- secretly exfiltrate data;
- bypass user approval;
- perform unlawful surveillance;
- distribute malware;
- commit fraud;
- or circumvent Hawi safety controls.
3. Review
Hawi may use automated scanning and human review.
4. Delisting
Hawi may temporarily or permanently delist material that appears unsafe, unlawful, fraudulent or materially misleading.
5. Creator notice
Where appropriate and legally permitted, Hawi may notify the Creator and state the reason for enforcement.
6. Appeals
Eligible Creators may appeal moderation decisions using the process Hawi provides.
7. Emergency action
Hawi may act without advance notice where content creates an urgent security, legal or safety risk.
Schedule 5 — Important Customer Acknowledgements
By using Hawi Agents, you acknowledge that:
- Agents can make mistakes.
- Autonomous Agents may act when you are not actively using Hawi.
- You control the permissions given to your Agents.
- Important or high-risk decisions should receive appropriate human review.
- Third-party systems can fail independently of Hawi.
- Third-party API and provider changes can interrupt Integrations.
- AI Credits and Voice Units are usage products rather than stored cash.
- Paid usage may vary depending on actual resources consumed.
- Automatic purchasing should only be enabled with limits appropriate to your organisation.
- External actions already accepted by a third party may not be reversible merely because an Agent run is later cancelled.
- Hawi does not guarantee that every catalogued Integration is immediately available.
- Voice and communications features must be used in compliance with applicable recording, marketing and communications laws.
- Marketplace products created by independent Creators may carry risks and should be reviewed before granting extensive permissions.
- You remain responsible for how you deploy and supervise Agents within your organisation.
- Nothing in these Terms removes legal rights that applicable law says cannot be removed.
