Hawi Agents — Marketplace Terms

These Hawi Marketplace Terms (“Marketplace Terms”) govern access to and use of the marketplace functionality made available by Hawi Inc, trading as Hawi Agents (“Hawi”, “Hawi Agents”, “we”, “us”, or “our”).
These Marketplace Terms apply to:
- persons browsing Marketplace listings;
- purchasers;
- users installing Marketplace content;
- Creators;
- sellers;
- developers;
- businesses;
- organisations;
- and anyone otherwise participating in Hawi's Marketplace.
These Marketplace Terms supplement the Hawi Terms and Conditions.
If there is a conflict concerning Marketplace activity, these Marketplace Terms prevail for the Marketplace-specific matter.

2. THE HAWI MARKETPLACE
The Hawi Marketplace may allow eligible users to:
- publish Agents;
- distribute Agents;
- sell Agents;
- install Agents;
- publish Agent modifiers;
- distribute templates;
- publish configuration packages;
- offer related digital functionality;
- purchase Marketplace products;
- review Marketplace products;
- rate Marketplace products;
- and receive Creator earnings.
The precise products and capabilities available may change.

3. DEFINITIONS
“Buyer” means a person or Account obtaining a Marketplace Product.
“Creator” means a user authorised to publish or monetise a Marketplace Product.
“Creator Earnings” means amounts recorded as payable to a Creator in fiat currency after applicable deductions.
“Listing” means a Marketplace page presenting a Marketplace Product.
“Marketplace Product” means an Agent, modifier, template, configuration, digital product or other eligible item distributed through the Marketplace.
“Paid Listing” means a Listing requiring payment.
“Seller” means a Creator offering a Paid Listing.
“Platform Fee” means an amount retained by Hawi from a Marketplace transaction as disclosed through applicable Marketplace pricing.

4. ELIGIBILITY
To sell through the Marketplace, you must:
- satisfy Hawi's Account age requirements;
- have authority to enter into these Marketplace Terms;
- complete required identity or business verification;
- complete required payment-provider onboarding;
- provide required tax information;
- and remain in good standing.
Hawi may refuse Marketplace seller access where reasonable verification cannot be completed.

5. AGE REQUIREMENT
Marketplace Creators and sellers must be at least 18 years old unless Hawi expressly establishes a legally compliant alternative programme.
You must not falsify age information to obtain Marketplace access.

6. INDIVIDUAL AND BUSINESS CREATORS
A Creator may operate as:
- an individual;
- sole trader;
- partnership;
- company;
- or other legally recognised entity.
You must accurately identify the person or entity responsible for your Listing.

7. TRADER STATUS
A seller offering Marketplace Products as part of a trade, profession, craft or business may be a trader for consumer-law purposes.
A seller must not falsely present itself as a private non-commercial seller to avoid consumer obligations.

8. SELLER INFORMATION
Hawi may require sellers to provide information including:
- legal name;
- trading name;
- residential or business address;
- email;
- telephone number;
- date of birth;
- company registration information;
- tax-identification information;
- payout information;
- bank details through an approved provider;
- proof of identity;
- and other information reasonably necessary for compliance.

9. VERIFICATION
Hawi or a third-party provider may verify Seller information.
Verification may include:
- identity checks;
- company-register checks;
- bank-account verification;
- Stripe verification;
- sanctions screening;
- fraud review;
- tax-information checks;
- or other reasonable due diligence.

10. FALSE IDENTITY INFORMATION
You must not:
- impersonate another Creator;
- provide false legal details;
- use forged identification;
- conceal the true Seller;
- use another person's payout account without authority;
- or deliberately misstate your trader status.

11. PLATFORM REPORTING OBLIGATIONS
Hawi may be required by law to collect, verify, retain and report information concerning Marketplace Sellers.
This may include reporting to:
- HM Revenue & Customs;
- tax authorities;
- regulators;
- or other competent authorities.
Where required, Hawi may also provide a Seller with a copy or summary of information reported about that Seller.

12. SELLER TAX RESPONSIBILITY
Creators are responsible for determining and paying taxes applicable to their Creator Earnings except where Hawi or a payment provider is legally required to:
- collect;
- deduct;
- report;
- or withhold
tax.

13. VAT AND SALES TAX
Depending on:
- Seller location;
- Buyer location;
- transaction structure;
- product;
- Marketplace tax configuration;
- and applicable law,
VAT, sales tax or similar taxes may apply.
The party legally responsible for the tax remains responsible even where a payment provider assists in calculation or collection.

14. MARKETPLACE PRODUCTS
Marketplace Products may include, where supported:
- complete Agents;
- Agent configurations;
- Agent instructions;
- templates;
- Agent modifiers;
- workflow structures;
- automation logic;
- tools;
- integration configurations;
- or other digital material.

15. CREATOR OWNERSHIP
As between Hawi and Creator, Creator retains ownership of intellectual-property rights in original Creator material, subject to:
- Hawi's rights in the underlying platform;
- third-party rights;
- licences granted under these Marketplace Terms;
- and applicable law.

16. CREATOR REPRESENTATIONS
By publishing a Marketplace Product, Creator represents that:
- Creator has the right to publish it;
- Creator has the right to license it;
- it does not knowingly infringe intellectual property;
- it does not contain stolen confidential information;
- it is not intentionally malicious;
- its description is materially accurate;
- permissions are not intentionally concealed;
- costs are not intentionally concealed;
- and distribution does not violate applicable law.

17. HAWI PLATFORM IP
Marketplace participation does not transfer ownership of:
- Hawi software;
- Hawi APIs;
- Hawi design;
- Hawi trademarks;
- Marketplace infrastructure;
- Hawi billing systems;
- or Hawi proprietary technology
to Creators.

18. LICENCE TO HAWI
Creator grants Hawi a worldwide, non-exclusive, transferable and sublicensable licence, for as long as reasonably necessary to operate the Marketplace, to:
- host;
- store;
- reproduce;
- process;
- execute;
- display;
- distribute;
- technically modify;
- scan;
- test;
- promote;
- demonstrate;
- and deliver
the Marketplace Product.
This licence exists solely to operate, secure, administer, promote and provide the Marketplace and purchased products.

19. TECHNICAL MODIFICATION
Hawi may make technical modifications reasonably necessary for:
- compatibility;
- security;
- formatting;
- deployment;
- migration;
- storage;
- execution;
- or platform upgrades.
Hawi does not acquire Creator ownership merely by making those changes.

20. BUYER LICENCE
Unless a Listing clearly states otherwise, purchase or installation grants Buyer a:
- limited;
- non-exclusive;
- non-transferable;
- non-sublicensable;
- revocable
licence to use the Marketplace Product within Hawi for Buyer's own lawful personal or internal business purposes.

21. NO SOURCE-CODE TRANSFER
Purchase of a Marketplace Product does not automatically transfer:
- copyright;
- source code;
- underlying intellectual property;
- development files;
- trademarks;
- or resale rights.
Those rights apply only if expressly stated.

22. NO MARKETPLACE RESALE
Unless specifically permitted by the relevant licence, Buyers may not:
- resell a Marketplace Product;
- republish it as their own;
- redistribute it outside Hawi;
- remove Creator attribution where required;
- or sell substantially identical copies.

23. ACCOUNT AND WORKSPACE INSTALLATION
Marketplace Products may be installed into an eligible Workspace.
Installation may create:
- an Agent;
- Agent configuration;
- tools;
- instructions;
- permissions;
- integration requirements;
- or other resources.
Buyer is responsible for selecting the correct Workspace.

24. INSTALL PERMISSIONS
Before enabling a Marketplace Product, Buyer should review:
- integrations requested;
- read permissions;
- write permissions;
- file access;
- communications access;
- purchasing capability;
- financial capability;
- voice capability;
- external services;
- and automated triggers.

25. CREATOR CANNOT SECRETLY EXPAND PERMISSIONS
A Creator must not intentionally design a Marketplace Product to obtain permissions materially broader than those disclosed.
Material new permissions introduced in an update may require:
- disclosure;
- renewed authorisation;
- or reinstallation.

26. CUSTOMER DATA
A Creator does not automatically receive access to a Buyer's Customer Content merely because Buyer installs the Creator's Marketplace Product.
Any direct Creator-controlled external processing must be appropriately disclosed.

27. EXTERNAL SERVICES
A Marketplace Product may depend on third-party services.
Listings should disclose material dependencies where reasonably necessary, including where the Buyer may require:
- an external account;
- paid subscription;
- API key;
- third-party licence;
- or additional provider charges.

28. HIDDEN FEES
Creators must not deliberately conceal mandatory third-party charges or paid dependencies that are reasonably foreseeable from normal use.

29. LISTING DESCRIPTIONS
Listings must be materially accurate.
A Creator should describe:
- principal functionality;
- important limitations;
- intended use;
- material requirements;
- significant permissions;
- material external dependencies;
- and any significant risk reasonably relevant to installation.

30. PERFORMANCE CLAIMS
Creators must not make false or misleading claims such as:
- guaranteed revenue;
- guaranteed business outcomes;
- guaranteed accuracy;
- guaranteed legal compliance;
- guaranteed investment returns;
- guaranteed security;
- or guaranteed performance
unless the claim is objectively supportable and legally permissible.

31. AI PERFORMANCE
Marketplace Agents may make mistakes.
Creators must not represent probabilistic or model-generated behaviour as guaranteed.
Buyers remain responsible for appropriate supervision.

32. MARKETPLACE PRICING
Creators may set or select prices within the Marketplace functionality Hawi provides.
Pricing may be:
- one-time;
- recurring;
- usage-related;
- free;
- or another supported structure.
---
33. SUPPORTED CURRENCIES
Supported transaction and payout currencies may vary.
Hawi may limit Creator payouts to currencies supported by Hawi and its payment providers.
Current Creator payout infrastructure supports policies denominated in GBP and USD, although supported currencies may change.

34. PLATFORM FEES
Hawi may deduct a Platform Fee from Marketplace sales.
The applicable fee should be disclosed:
- in the Creator dashboard;
- at Listing creation;
- in Marketplace commercial terms;
- or through another reasonable interface.
Hawi does not need to include a permanent fixed Platform Fee percentage in these Terms if fees vary by product, programme or future commercial model.

35. APPLICATION FEES
Marketplace transactions may be technically processed so that Hawi receives an application/platform fee and the remainder is allocated to the Seller.
The existence of such payment routing does not create an employment or partnership relationship.

36. CREATOR EARNINGS
Creator Earnings represent fiat amounts attributable to eligible Marketplace or Creator activity.
Creator Earnings are separate from:
- Hawi AI Credits;
- Voice Units;
- promotional credits;
- and Customer usage wallets.

37. NO CONVERSION TO AI CREDITS
Creator Earnings do not automatically become Hawi AI Credits.
AI Credits do not automatically convert into Creator Earnings.
---
38. EARNING RECORDS
Hawi may maintain immutable or append-oriented earning records.
Corrections may be represented as separate adjustment events rather than modifying historical records invisibly.

39. AVAILABLE EARNINGS
Creator Earnings may not become immediately withdrawable after a sale.
Hawi may delay availability to account for:
- payment settlement;
- fraud;
- chargebacks;
- refunds;
- disputes;
- regulatory checks;
- and payment-provider requirements.

40. PAYOUT ACCOUNTS
Creators may be required to establish or maintain an eligible Stripe-connected payout account.
Hawi may not be able to pay a Creator until:
- identity verification is complete;
- payout capability is enabled;
- required tax information is supplied;
- and the payment provider approves the account.

41. STRIPE CONNECT
Hawi may use Stripe Connect or related Stripe products to facilitate Creator payouts.
Creators may be required to accept Stripe's applicable terms.
Stripe may independently require:
- identity verification;
- business verification;
- bank verification;
- beneficial-owner information;
- tax information;
- or other regulatory information.

42. PAYOUT THRESHOLD
Hawi may apply minimum Creator payout thresholds.
The current configured standard payout threshold is:
- £50 for GBP Creator balances; and
- $50 for USD Creator balances.
Amounts below the applicable threshold may roll forward until the threshold is reached.

43. CHANGING PAYOUT THRESHOLDS
Hawi may change payout thresholds prospectively for legitimate reasons such as:
- payment fees;
- operational costs;
- fraud risk;
- payment-provider requirements;
- or regulatory requirements.
Hawi will not intentionally confiscate valid accrued Creator Earnings merely because the threshold changes.

44. MICRO-EARNINGS
Creator Earnings below the minimum payout threshold may continue accumulating.
Very small individual earnings may be aggregated until they become payable.

45. PAYOUT TIMING
Meeting the payout threshold does not guarantee immediate same-day payment.
Payment may depend on:
- payout processing cycles;
- Stripe availability;
- fraud review;
- compliance review;
- bank processing;
- and technical availability.
---
46. PAYOUT FAILURE
If a payout fails, Hawi may:
- retry it;
- delay it;
- request updated payout information;
- require additional verification;
- or return the amount to the Creator's unpaid balance.
---
47. PAYOUT FEES
Payment-provider or currency-conversion fees may apply where disclosed.
Creators are responsible for fees charged directly by their bank or payment provider unless otherwise stated.

48. REFUNDS
Marketplace refunds are governed by:
- Hawi's Cancellation and Refund Policy;
- applicable Consumer law;
- specific Listing terms;
- and these Marketplace Terms.
---
49. CREATOR EARNINGS AFTER REFUND
If a Marketplace transaction is refunded, associated Creator Earnings may be:
- reversed;
- cancelled before payout;
- deducted from unpaid earnings;
- deducted from future earnings;
- or recovered where legally permitted.
---
50. CHARGEBACKS
If a Buyer successfully disputes a Marketplace payment, Hawi may adjust related Creator Earnings.
A Creator may be responsible for losses attributable to:
- fraud;
- misrepresentation;
- invalid fulfilment;
- or Creator misconduct,
subject to applicable law and Marketplace fee rules.

51. NEGATIVE CREATOR BALANCES
Refunds, chargebacks or corrections may create a negative Creator balance.
Hawi may offset a negative balance against future Creator Earnings where legally permitted.

52. CREATOR RESERVES
Where reasonably required for fraud or chargeback risk, Hawi may delay a reasonable portion of Seller Earnings before payout.
Any reserve should be proportionate to legitimate risk and applicable contractual obligations.

53. BUYER PAYMENT
A Buyer must provide a valid payment method for a Paid Listing.
The Marketplace interface should clearly indicate when placing an order creates a payment obligation.
---
54. ORDER CONFIRMATION
Hawi may provide Buyer with an electronic confirmation identifying:
- Marketplace Product;
- amount;
- currency;
- Seller;
- date;
- and other relevant transaction information.
---
55. DIGITAL SUPPLY
Marketplace Agents and related products may constitute digital content or digital services.
Supply may begin immediately after purchase where Buyer requests immediate access.
---
56. CONSUMER CANCELLATION RIGHTS
Consumers retain statutory rights that cannot lawfully be excluded.
Where applicable, a Consumer may have a 14-day cancellation right for eligible distance contracts.
Different rules may apply once digital content supply begins.
---
57. IMMEDIATE DIGITAL SUPPLY
Where legally required before immediate supply of digital content, Hawi will obtain:
- express consent to begin supply during the cancellation period; and
- acknowledgement that the right to cancel may be lost.
Where these requirements are not properly satisfied, Hawi will not rely on an invalid waiver.

58. DEFECTIVE DIGITAL PRODUCTS
Consumers may have statutory rights where Marketplace digital content:
- is not of satisfactory quality;
- is not fit for purpose;
- is not as described;
- or otherwise fails applicable consumer standards.
Nothing in these Marketplace Terms eliminates mandatory statutory remedies.

59. SELLER CONSUMER OBLIGATIONS
A Seller who is legally the trader in a transaction must comply with applicable consumer law.
This may include duties concerning:
- accurate descriptions;
- pre-contract information;
- pricing;
- cancellation rights;
- digital-content information;
- refunds;
- unfair commercial practices;
- and complaint handling.

60. HAWI'S ROLE IN SALES
The applicable Listing or checkout should indicate whether the relevant Marketplace transaction is:
- sold by Hawi;
- sold by an independent Creator;
- or otherwise structured.
Hawi should not intentionally misrepresent who the legal Seller is.

61. INDEPENDENT CREATORS
Unless otherwise expressly stated, independent Creators are not:
- Hawi employees;
- Hawi partners;
- Hawi franchisees;
- Hawi fiduciaries;
- or general agents of Hawi.

62. NO AUTHORITY TO BIND HAWI
A Creator cannot enter into a contract on behalf of Hawi unless Hawi provides express written authority.

63. CUSTOMER SUPPORT
Creators may be expected to provide reasonable support where their Listing promises support.
Hawi may provide platform support separately from Creator-specific product support.
---
64. UPDATES
Creators may issue updates to Marketplace Products.
Updates may:
- correct defects;
- improve features;
- maintain compatibility;
- address security;
- or change functionality.
---
65. MATERIAL PRODUCT CHANGES
A Creator must not intentionally use an update to transform a purchased product into something materially different in a misleading way.
Where an update materially changes:
- permissions;
- data access;
- paid dependencies;
- or intended use,
additional disclosure may be required.
---
66. SECURITY UPDATES
Hawi may require a Creator to issue a security update or may suspend a Marketplace Product that presents material security risk.
---
67. MALWARE
Marketplace Products must not contain:
- malware;
- ransomware;
- spyware;
- credential stealers;
- malicious loaders;
- hidden crypto-mining;
- destructive payloads;
- unauthorised remote access;
- or other intentionally malicious functionality.
---
68. DATA EXFILTRATION
Creators must not design Marketplace Products to secretly send Buyer information to:
- Creator;
- an undisclosed service;
- an advertising provider;
- or another third party.
---
69. CREDENTIAL COLLECTION
Marketplace Products must not intentionally request or collect:
- passwords;
- authentication codes;
- API secrets;
- session tokens;
- recovery codes;
- or other sensitive credentials
except through a Hawi-approved secure mechanism appropriate to the integration.

70. MARKETPLACE SECURITY REVIEW
Hawi may:
- inspect;
- scan;
- execute in controlled environments;
- analyse;
- quarantine;
- test;
- or manually review
Marketplace Products.
---
71. SECURITY REVIEW IS NOT A WARRANTY
Hawi's review does not guarantee that a Marketplace Product is:
- secure;
- bug-free;
- lawful in every jurisdiction;
- suitable for Buyer;
- or incapable of harmful behaviour.
---
72. PROHIBITED MARKETPLACE PRODUCTS
Creators may not list products principally designed to facilitate conduct prohibited under Hawi's Acceptable Use Policy.
This includes products designed for:
- phishing;
- malware;
- fraud;
- credential theft;
- unlawful surveillance;
- spam;
- harassment;
- exploitation;
- or unauthorised system access.

73. MODERATION
Hawi may review and moderate:
- Listings;
- descriptions;
- images;
- reviews;
- Products;
- Creator accounts;
- and Marketplace activity.
---
74. LISTING REJECTION
Hawi may reject a Listing that:
- violates policy;
- creates security risk;
- is materially misleading;
- infringes intellectual property;
- is unlawful;
- lacks required information;
- or does not meet Marketplace quality requirements.
---
75. LISTING SUSPENSION
Hawi may temporarily suspend a Listing while investigating:
- security reports;
- fraud;
- intellectual-property complaints;
- consumer complaints;
- illegal content;
- product defects;
- or policy breaches.
---
76. LISTING REMOVAL
Hawi may remove a Marketplace Product where reasonably necessary.
Where appropriate and legally required, Hawi will provide the Creator with a reason.

77. CREATOR ACCOUNT TERMINATION
Serious or repeated Marketplace violations may result in:
- Marketplace suspension;
- payout restriction;
- Listing removal;
- or termination of Creator privileges.
---
78. PENDING EARNINGS AFTER TERMINATION
Termination does not automatically extinguish legitimate vested Creator Earnings.
However, Hawi may retain or offset amounts reasonably necessary to address:
- refunds;
- chargebacks;
- fraud;
- legal claims;
- taxes;
- or payment-provider obligations.

79. ILLEGAL CONTENT
Creators and Buyers must not use the Marketplace for unlawful content or services.
Hawi may provide notice-and-action mechanisms where applicable.

80. ILLEGAL PRODUCT OR SERVICE NOTICES
Where Hawi becomes aware that an illegal product or service has been offered through the Marketplace, Hawi may:
- remove or restrict it;
- preserve required records;
- notify affected persons where required;
- identify the Seller where legally required;
- and cooperate with competent authorities.

81. EU MARKETPLACE COMPLIANCE
Where EU Digital Services Act marketplace provisions apply to Hawi, Hawi may require Traders to provide legally required information before offering products or services to EU consumers.

82. EU TRADER TRACEABILITY
Where applicable, Hawi may collect information including:
- Trader name;
- address;
- telephone number;
- email;
- identity-document information;
- payment-account information;
- trade-register information;
- and self-certification concerning applicable legal obligations.

83. VERIFICATION OF TRADER INFORMATION
Where legally required, Hawi may make reasonable efforts to assess reliability of Trader information using:
- public registers;
- verification providers;
- payment-provider verification;
- supplied documents;
- or other appropriate sources.
---
84. PUBLIC TRADER INFORMATION
Where required by applicable EU law, certain Trader information may be displayed clearly to Buyers on the relevant Listing.
---
85. COMPLIANCE BY DESIGN
Where applicable, Hawi may require Listings to provide sufficient fields for legally required:
- Seller identification;
- product identification;
- compliance information;
- safety information;
- and other pre-contract information.
---
86. ILLEGAL PRODUCT NOTIFICATION
Where applicable law requires it and Hawi becomes aware that an illegal product or service was sold through the Marketplace, Hawi may notify affected Buyers of:
- illegality;
- Seller identity;
- and relevant redress options.
---
87. MARKETPLACE RANKING
Hawi may rank or organise Listings.
Where legally required, Hawi will disclose the principal parameters materially determining ranking and their relative importance through:
- Marketplace information;
- Creator documentation;
- these Terms;
- or another clear interface.
---
88. NO GUARANTEED RANKING
Creators have no right to:
- first position;
- permanent search placement;
- permanent recommendation;
- or a guaranteed volume of Marketplace traffic.
---
89. PROMOTED LISTINGS
If Hawi introduces paid or sponsored Marketplace placement, sponsored results should be clearly identified where required by law.

90. RANKING MANIPULATION
Creators must not manipulate ranking through:
- fake downloads;
- fake purchases;
- fake ratings;
- coordinated fake activity;
- automated installation farms;
- or misleading metadata.
---
91. REVIEWS AND RATINGS
Hawi may permit Buyers to rate or review Marketplace Products.
Reviews should reflect genuine experiences.
---
92. FAKE REVIEWS
You must not:
- write fake reviews;
- buy fake reviews;
- sell fake reviews;
- commission fake reviews;
- create fake Accounts to review your own Product;
- or knowingly publish fabricated Marketplace experiences.
---
93. INCENTIVISED REVIEWS
A review obtained in exchange for:
- payment;
- free products;
- discounts;
- Credits;
- benefits;
- or another incentive
must be handled consistently with applicable consumer law and Hawi's review rules.
Where required, the incentive must be clearly disclosed.

94. CREATOR REVIEW MANIPULATION
Creators must not:
- threaten Buyers for negative reviews;
- condition refunds on deletion of truthful reviews;
- selectively purchase positive reviews;
- or retaliate against users merely for leaving lawful negative feedback.

95. REVIEW MODERATION
Hawi may remove reviews that:
- are fake;
- are unlawful;
- contain malware;
- expose private information;
- are unrelated to the Product;
- violate Hawi policies;
- or constitute prohibited manipulated review content.
---
96. NEGATIVE REVIEWS
Hawi will not remove a review merely because it is negative where the review is otherwise lawful and compliant.
---
97. INTELLECTUAL-PROPERTY COMPLAINTS
Rights holders may report Listings believed to infringe intellectual property.
Hawi may request:
- identification of the protected work;
- identification of the allegedly infringing material;
- rights-holder information;
- good-faith statements;
- and supporting evidence.

98. COUNTER-NOTICES

- prompts;
- code;
- templates;

104. CUSTOMER DATA ACCESS
If a Marketplace Product processes Buyer Personal Data, applicable privacy obligations must be observed.
Creator must not independently use Buyer Personal Data for unrelated purposes without a valid legal basis.

105. MARKETPLACE PRIVACY DISCLOSURES
Where a Product sends information to an external Creator-controlled service, the Listing should clearly disclose:
- that external processing;
- the responsible provider;
- relevant data categories;
- and a privacy notice where required.

106. HAWI DPA
Installation of a Marketplace Product does not automatically make the Creator a Hawi Subprocessor.
Any processing relationship depends on the actual architecture.

107. CONFIDENTIAL INFORMATION
Creators must not intentionally expose Buyer's private Workspace information.
Buyers must not improperly obtain Creator confidential information or proprietary code.

108. SUPPORT ACCESS
If Buyer voluntarily provides information to Creator for support, that exchange may create a separate relationship between Buyer and Creator.
Creators must process support information lawfully.

109. ACCEPTABLE USE
All Marketplace participants must comply with the Hawi Acceptable Use Policy.

110. SANCTIONS
Creators and Buyers must comply with applicable sanctions.
Hawi may restrict:
- Listings;
- payments;
- payouts;
- Accounts;
- or transactions
where required for sanctions compliance.

111. EXPORT CONTROLS
Marketplace Products must not be distributed in violation of applicable export-control law.

112. FRAUD PREVENTION
Hawi may analyse Marketplace activity for fraud.
Potential indicators may include:
- unusual payment activity;
- repeated self-purchases;
- coordinated rating activity;
- suspicious refund behaviour;
- identity mismatches;
- and payment-provider alerts.

113. SELF-PURCHASING
Creators must not purchase their own Products through fake or related Accounts for the primary purpose of manipulating:
- ranking;
- reviews;
- earnings;
- or promotional eligibility.

114. MONEY LAUNDERING
The Marketplace must not be used to:
- disguise transfers;
- launder funds;
- convert stolen payment methods into Creator payouts;
- or otherwise facilitate financial crime.

115. PAYMENT HOLDS
Hawi may delay payouts where reasonably necessary to investigate suspected:
- fraud;
- chargebacks;
- sanctions;
- money laundering;
- identity concerns;
- or other financial risk.

116. COOPERATION WITH PAYMENT PROVIDERS
Creators authorise Hawi to share information reasonably necessary with Stripe or another payment provider to:
- process Marketplace transactions;
- conduct KYC;
- prevent fraud;
- issue payouts;
- resolve disputes;
- and comply with law.

117. BUYER DISPUTES
Buyers should first use Hawi's available Marketplace support or refund procedure for Marketplace issues.
This does not restrict mandatory Consumer or payment rights.

118. CREATOR RESPONSE
Hawi may ask Creator to respond to a Buyer complaint.
Failure to respond may be considered when Hawi determines an appropriate Marketplace remedy.

119. HAWI DISCRETIONARY REFUNDS
Hawi may issue a refund where reasonably appropriate even where Creator disagrees, particularly concerning:
- fraud;
- defective Products;
- non-delivery;
- legal obligations;
- or Marketplace policy.
Related Creator Earnings may be adjusted.

120. PRODUCT REMOVAL AFTER PURCHASE
A Product may become unavailable after purchase because of:
- legal requirements;
- serious security problems;
- Creator termination;
- technical incompatibility;
- provider changes;
- or discontinued Marketplace functionality.

121. EXISTING INSTALLATIONS
Where safe and legally permissible, Hawi may allow an existing installation to continue after a Listing is removed.
However, Hawi may remotely disable a Product or functionality where continued execution creates material:
- security;
- legal;
- fraud;
- or safety risk.

122. NO PERPETUAL AVAILABILITY GUARANTEE
Purchase of a Marketplace Product does not guarantee that Hawi will operate the Marketplace or support the Product indefinitely.
Consumer statutory rights remain unaffected.

123. MARKETPLACE AVAILABILITY
Hawi does not guarantee:
- continuous Marketplace availability;
- continuous payment-provider availability;
- uninterrupted Creator payouts;
- permanent compatibility;
- or permanent availability of every Listing.

124. CREATOR SUPPORT OBLIGATIONS
Where a Creator expressly advertises a support period or service level, Creator must make reasonable efforts to provide what was promised.

125. SECURITY DISCLOSURES
A Creator discovering a security vulnerability in its Product should promptly:
- investigate;
- notify Hawi where appropriate;
- issue a fix;
- and avoid unnecessarily exposing Buyers.

126. PRODUCT RECALL
Hawi may recall or disable a Marketplace Product where:
- malicious functionality is discovered;
- a critical vulnerability cannot be safely mitigated;
- continued operation is unlawful;
- or another serious risk exists.

127. CREATOR INDEMNITY
To the extent permitted by law, Creator will indemnify Hawi against third-party claims resulting from Creator's:
- intellectual-property infringement;
- malicious code;
- unlawful Listing;
- fraudulent conduct;
- material misrepresentation;
- or violation of applicable law.
This does not require Creator to indemnify Hawi for Hawi's independent wrongdoing.

Buyer remains responsible for:
- selecting Products;
- reviewing permissions;
- selecting appropriate Workspaces;

- supervising Agents;

129. NO CREATOR PROFESSIONAL STATUS
A Marketplace Product does not become:
- legal advice;
- medical advice;
- accounting advice;
- financial advice;
- or another regulated professional service
merely because Creator describes it that way.
Applicable laws governing regulated services still apply.

130. NO GUARANTEE OF BUSINESS RESULTS
Neither Creator nor Hawi should represent Marketplace use as guaranteeing:
- revenue;
- profit;
- sales;
- leads;
- cost savings;
- investment return;
- or another commercial result
unless such a guarantee is expressly and lawfully provided.

- or unexpected Agent behaviour.

Where required by applicable law, Hawi will provide business users with reasons when restricting, suspending or terminating Marketplace access.

Material changes affecting Creators will be notified where required by applicable law.

Where business-platform legislation requires advance notice of Marketplace term changes, Hawi will provide the legally required notice unless an exception applies, such as:
- legal obligation;
- urgent security concern;
- fraud;
- or immediate threat.

140. EXISTING TRANSACTIONS
Changes to Marketplace Terms do not ordinarily rewrite the economic terms of a completed historical transaction retroactively.

141. TERMINATING CREATOR PARTICIPATION

- active licences;

The Hawi Marketplace may use the following structure:
- Buyer purchases a Marketplace Product.
- Payment is processed by an approved payment provider.
- Hawi records the Marketplace sale.
- Hawi may retain an applicable Platform Fee.
- Seller's eligible portion is recorded as Creator Earnings.
- Earnings may be held until available for payout.
- Refunds and chargebacks may reverse earnings.
- Eligible earnings accumulate.
- A payout may be created once the applicable threshold and verification requirements are met.
- The payment provider transfers eligible funds to Creator's approved payout account.

- refund rights are not unlawfully excluded;
